EXHIBITOR TERMS & CONDITIONS

This document details the agreement between "The Exhibitor" and the Return to Nature Organizers: Quantum Lens Wellness and Carrie B. Wellness (the "Organizer" or "Event Organizer") and any company, individual, partnership, or organization ("Vendor" or "Exhibitor") that participates in the Return to Nature (the "Exhibition" or "Event"). These terms and conditions apply to the exclusion of any others unless expressly agreed in writing.

1. The Event(s)
i. Return to Nature 2025
ii. Thursday, June 26, 2025, & Friday, June 27, 2025
iii. Venue: Graystone Quarry, 4520 Graystone Quarry Lane, Franklin, TN, 37064
iv. Public Opening Times: Thursday 8.30 am-5.30 pm, Friday 8.30 am-5.00 pm
v. Exhibitor Set up time: Thursday, 8.00 am-9.00 am
vi. Exhibitor Take-Down Time: Friday, at 5.00 pm

a. The submitted contract becomes legally binding when the payment is made in full.
b. The contract must state clearly the nature of all goods and services to be promoted at the exhibition. Only those goods and services entered on the application form may be displayed.


2. Cancellation
a. Upon payment and acceptance of the Terms and Conditions, the Exhibitor agrees that this is non-refundable.
b. Notification of cancellation must be given in writing to [email protected]
c. Should the event be canceled due to circumstances beyond the Organizers' control, Vendor and Exhibitor booth refunds will only be given if the Event Organizer’s insurance covers such risks (e.g., fire, weather, strikes, etc.).
d. If the Organizer’s insurance does not cover the reason the Event has been canceled (pandemic and other risks), then no refunds can be given. Instead, Exhibitors and Vendors will be offered a comparable booth at the next event to be held.


3. Alterations to Bookings
a. In the event that an Exhibitor wishes to alter the listed goods and services between the time of booking and the exhibition itself, they must notify the organizer in writing at [email protected]. Permission to display additional goods and services may be given at the sole discretion of the Organizer.
b. Under no circumstances may a stand/booth/table be sublet, shared, or transferred without the prior consent of the Organizer. All requests must be made in writing via email to [email protected].


4. Entitlements
a. The cost includes a six-foot table, two individual Exhibitor passes for staff, and a program listing.
b. The cost expressly excludes electrical supplies (extension cords, etc.), furniture, telephone, car parking, insurance, and any other additional services that individual Exhibitors may require.
c. Canvassing of visitors is not permitted beyond the perimeter of each Exhibitor’s table, such as in the aisles or entrance hall.


5. Exhibiting
a. Tables must be staffed at all times during the exhibition's dedicated opening hours, during lunch, and during outdoor activities.
b. Any Exhibitor's failure to be at the table during the exhibition's opening time will be deemed a cancellation, and the organizer will be entitled to reallocate the space.
c. Exhibitors are not allowed to be at booths during the speaker times, as this would distract the dedicated speaker space.


6. Insurance
a. The Organizer, exhibition hall owners and management, official contractors, and local authorities cannot accept any liability for any loss or damage sustained from any cause whatsoever.
b. Some limited security services are provided throughout the Exhibition and build-up period. Still, while every reasonable precaution is taken, Exhibitors are advised to take common-sense precautions regarding the safety of their effects at all times.
c. The Organizer disclaims responsibility for any loss or damage to property of any exhibitors from any cause whatsoever. However, it is essential for Exhibitors to report immediately to the Organizer any loss sustained. The organizer accepts no responsibility for the Exhibitors’ goods left in the exhibition hall at the end of the exhibition.
d. The Organizer accepts no responsibility for the failure of any Exhibitor to arrange any insurance coverage they may require by their own company.


7. Health and Safety
a. Exhibition stand set-up and breakdown must only take place during the allocated times. Exhibitors are not permitted to set up or dismantle stand displays or move merchandise within the hall while it is open to the public. Specifically, Exhibitors must not commence breakdown at the end of an Exhibition before the public has vacated the hall.
b. Children under 18 are not permitted to be in the hall during build-up or break-down.
c. Exhibitors must not cause any aisle or emergency exit to be blocked in any way by their goods, displays, or staff. In case of any dispute, the decision of the duty fire officer is final.
d. Exhibitors must not bring explosives or dangerous or harmful substances into the Exhibition. No naked flames, fireworks, etc., are allowed, and any item or device deemed unsafe by the duty fire officer will be removed by the Organizers or the fire officer.
e. Exhibitors must seek permission from the exhibition hall (via the Organizer) should they wish to bring any animal into the Exhibition.


8. Fire Regulations
a. All fittings, fixtures, and products must remain within your table area, and empty boxes or packing materials cannot be stored around your table.
b. All events are non-smoking.
c. Exhibitors should note the specific fire evacuation procedures that apply to the Exhibition hall.


9. Photography
a. Any images/videos of participants taken by the official photographer remain the property of the Organizer, and the Organizer reserves the right to use any such images to promote future Exhibitions.
b. Exhibitors may not take photographs/video footage of speakers or intellectual property of the Organizers without the written consent of the Organizer.


10. Admission
a. The Organizer reserves the right to refuse admission to any member of the public or any Exhibitor staff member.


11. Badges / Passes
a. Exhibitor badges are issued by Return to Nature for the use of Exhibitors and their staff. These must be completed with the name of the individual and company.
b. Badges are strictly non-transferable. The Organizer reserves the right to refuse admission of any individual possessing an Exhibitor badge who is not directly involved with an Exhibition table.


12. Noise Levels
a. Exhibitors must ensure that CDs/iPods, videos, televisions, and any other sounds emanating from their stands are kept to a level that does not disturb other Exhibitors or performers. In case of dispute, the Organizer’s decision is final.
b. No voice amplifiers are to be used by any Exhibitor.
c. Exhibitors must not cause any obstruction or disturbance to the neighboring or adjoining premises of the Exhibition Hall in the process of moving into or out of the Exhibition Hall.
d. During the event, louder performance sessions will be held on the stage, all within the health and safety guidelines. These will run at designated times each day, and the Organizer will not be responsible for any loss of trade to an Exhibitor due to the volume of these.


13. Code of Conduct
a. While participating in the Exhibition, Exhibitors must not conduct their business in a manner that could bring the reputation or integrity of the Event into disrepute. The Organizer reserves the right to stop or remove any act, display item, or person deemed to be inappropriate or detrimental to its interests.
b. Exhibitors are responsible for any damage caused to the fabric of the Exhibition Hall by their activities while participating in the Exhibition.
c. Exhibitors are responsible for any waste material left behind at the end of the Exhibition. Any costs incurred by the venue in the specific disposal of such materials will be passed on to the Exhibitor.


14. Misc.
a. The agreement is not conditional upon the presence or absence of any other Exhibitor, and any reference to such a circumstance does not constitute any part of the agreement.
b. The Organizer reserves the right to change the location or amount of space that a table has within the Exhibition.


15. Disclaimer
a. The Organizer provides information in good faith and to the best of their knowledge at that point in time. Subsequent changes cannot be considered cause to cancel the booking; likewise, no omission or error on the part of the organizer can be held against them.
b. The Organizer reserves the right to alter the overall layout of the exhibition if necessary, which in turn may affect the location and dimensions of individual tables. This eventuality does not constitute a violation of the contract and does not permit the Exhibitor to revoke that agreement.
c. The Organizer will always act in the best interests of the Exhibition. In so doing, the Organizer may, from time to time, alter the details of these terms and conditions if required.
d. In the case of any breach of contract, the Organizer reserves the right to remove items or people from the Exhibition and/or revoke the contract without prejudice to the right to recover any monies owed to the Organizer.
e. In the event of postponement or abandonment by the Organizer, the Exhibitor shall not have any claim against the Organizer. Any failure to settle a dispute related to these Terms and Conditions will be resolved in a court of law. No sub-letting or transferring of stands is allowed. The contract is specific to the Exhibitor and must not be assigned, sublet, or shared in any way. Any materials not related to the Exhibitor and listed in the booking form cannot be distributed.
